These terms form the agreement between you and Local SEO Marketing ("we", "us", "our"), a proprietary limited company registered in Australia. By purchasing a subscription, you agree to these terms. Please read them before you buy.
1. What we do
We manage Google Business Profiles for Australian trade and service businesses. All of our subscription tiers are Google Business Profile work only.
Depending on your tier, our work may include:
- Profile optimisation — categories, services, attributes, business description, hours, service areas and products
- Google Posts, scheduled and published to your profile
- Photo and media management on your profile
- Q&A seeding and management
- Review response drafting and publishing, and review request systems
- Geo-grid ranking scans and reporting
- Spam fighting and competitor profile reporting where relevant
- Call tracking setup and reporting (tiers where included)
- Profile monitoring, suspension response and reinstatement attempts
What is not included in any tier:
- Website design, development, hosting or maintenance
- On-site or technical SEO of any kind
- Suburb or location landing pages
- Citation building, citation audits or directory listing management
- Link building or digital PR
- Google Ads, Meta Ads or any paid media management
- Social media management outside Google Posts
- Email marketing
If you want any of the above, it isn't part of what you're buying. The exact inclusions for your tier are set out on the product page for that tier at the time you purchase, and those inclusions form part of this agreement.
2. No guarantee of rankings or results
This is the most important clause in this agreement, so we've put it near the top.
Google controls its ranking systems entirely. Those systems change frequently, without notice, and without explanation. We cannot and do not guarantee:
- Any specific ranking position, map pack placement or grid result
- Any specific increase in calls, enquiries, bookings, jobs or revenue
- That your profile will not be suspended, restricted or removed by Google
- That results achieved will be maintained over time
- Any particular timeframe for results
What we do guarantee is that we will perform the work described in your tier with due care and skill, on time, and that we will tell you honestly what we're seeing in your data.
Case studies, screenshots and figures we show you describe results for specific businesses in specific markets at specific times. Your market, competition, profile history, review profile, service area and business category all affect outcomes. Past results are not a prediction of your results.
3. Territory exclusivity
On the Pro and Max tiers we commit to territory exclusivity. Here's exactly what that means and what it doesn't mean.
What it is: a commitment about our client list. For as long as your subscription is active and paid, we will not take on another client in the same industry category within your defined territory.
What it is not: a claim about Google. It does not mean you will outrank competitors. It does not mean competitors can't hire a different agency, or do the work themselves. It means we won't work for them.
How territory is defined:
- Your territory and industry category are confirmed in writing by us after you purchase, normally within one business day.
- Territory is defined by the town, suburb cluster or service area we agree in that confirmation. It is whatever is written in that confirmation, not what either of us assumed.
- Industry category is defined by your primary Google Business Profile category and closely competing categories. We'll name these in the confirmation.
- Exclusivity begins on the date of that written confirmation and continues while your subscription is active and paid.
If your territory is already taken: we'll tell you within one business day of your purchase. You can choose an alternative territory, move to the Core tier, or receive a full refund of everything you've paid. Your call.
Existing clients: if we already had a client in your industry and territory before your purchase, that client keeps priority. We won't remove an existing client to make room for a new one.
When exclusivity ends: your territory is released for other clients as soon as your subscription ends, is cancelled, or falls more than 14 days into arrears. There is no holding period and no right of first refusal after cancellation.
Changing your territory: if you expand or move, contact us. We'll confirm in writing whether the new territory is available. Exclusivity in a new territory only applies once we've confirmed it in writing.
Core tier subscriptions do not include territory exclusivity. We may work with other businesses in your industry and area on the Core tier, and we'll tell you honestly if you ask.
4. 30-day performance guarantee
If, after 30 days of active work on your profile, there has been no measurable improvement in your geo-grid visibility, we will refund your first month's fee in full.
How we measure it: we run a geo-grid scan at onboarding to establish your baseline, using the same grid size, keyword set and scan centre point each time. We run the same scan at day 30. "Measurable improvement" means an improvement in your average grid position or visibility score against that baseline.
Conditions. The guarantee applies where:
- You gave us manager access to your Google Business Profile within 7 days of purchase, and kept it in place for the full 30 days
- You provided the onboarding information we requested within 14 days of purchase
- You didn't make conflicting changes to the profile yourself, or have another provider working on it, during the period
- Your profile was not suspended, restricted or disabled by Google during the period for reasons outside our control
- Your business details, address and category were accurate and compliant with Google's guidelines
- Your account was not in arrears
How to claim: email us within 14 days of the end of your first 30 days. We'll send you both grid scans, and if there's been no measurable improvement we'll refund your first month within 10 business days. The guarantee is available once per client and applies to the first month only.
This guarantee sits alongside your rights under the Australian Consumer Law. It doesn't replace them.
5. What you need to do
We can't do this work without you. You agree to:
- Give us manager-level access to your Google Business Profile, and keep it in place while you're a client
- Give us accurate information about your business — legal name, address, service area, hours, services, licence details
- Respond to our requests for information, approvals and assets within a reasonable time
- Hold all licences, registrations and insurances your trade or industry requires
- Not make conflicting changes to your profile, or engage another provider to work on it, without telling us
- Not ask us to do anything that breaches Google's Business Profile guidelines — including fake reviews, keyword-stuffed business names, virtual offices presented as real premises, or listings for locations you don't service
If you ask us to do something that would breach Google's guidelines, we'll decline. If you do it yourself and it causes a suspension, that's outside our control and the performance guarantee doesn't apply.
If you don't provide access or information and that delays our work, we'll keep billing you. We can't pause your subscription for delays on your side, though we'll always try to reach you first.
6. Google's platform
Your Google Business Profile belongs to you and lives on Google's platform, subject to Google's terms and guidelines. Google can suspend, restrict, merge or remove profiles at its discretion.
If your profile is suspended while you're a client, we'll work with you to attempt reinstatement at no additional charge. We can't guarantee reinstatement — that decision is Google's alone. We're not liable for losses caused by Google suspending, restricting or changing your profile, or by changes to Google's ranking systems, features or policies.
7. Call tracking and recording
Where call tracking is included in your tier, we set up tracking numbers and reporting through a third-party provider. You should know:
- Call recording is subject to Australian federal and state law, and the requirements differ between states.
- You are responsible for ensuring callers are properly notified that calls are being recorded, and for obtaining any consent the law requires in the states where you operate. We enable a recording announcement by default at setup. If you ask us to turn it off, that's your decision and your responsibility.
- Call recordings and caller phone numbers are personal information. You are responsible for handling them lawfully, including under the Privacy Act 1988 (Cth) where it applies to you.
- Tracking numbers are provisioned through our provider account. When you cancel, we can usually port a tracking number to you on request, but this depends on the carrier and isn't guaranteed. Ask us before you cancel if this matters.
8. Fees, billing and GST
- All prices are in Australian dollars and include GST.
- Subscriptions are billed monthly in advance on the anniversary of your purchase date, using the payment method you provide.
- By subscribing, you authorise us to charge that payment method on a recurring basis until you cancel.
- The total price you'll pay, including any unavoidable fees, is shown before you complete checkout. There are no setup fees, exit fees or hidden charges.
- A tax invoice is issued for each payment.
Failed payments: if a payment fails we'll notify you and retry. If payment isn't received within 7 days we may pause work on your profile. If it isn't received within 14 days we may suspend or terminate your subscription and release your territory. We'll always email you before we do either.
Price changes: we may change subscription prices. If we do, we'll give you at least 30 days' written notice before the new price applies to you. If you don't want to continue at the new price, cancel before it takes effect and you won't be charged it.
9. Term and cancellation
Subscriptions are month-to-month. There is no minimum term, no lock-in contract and no exit fee.
You can cancel at any time by emailing admin@localseomarketing.com.au or through your customer account. You don't need to phone us and there is no notice period. Full details are in our Purchase Options Cancellation Policy.
We may terminate your subscription on 30 days' written notice, or immediately if you breach these terms, ask us to do something unlawful or against Google's guidelines, are more than 14 days in arrears, or behave abusively toward our people. If we terminate without cause, we'll refund any unused portion of the current billing period.
10. What happens when it ends
- You keep your Google Business Profile. It's yours and always was. We simply remove our manager access.
- You keep the content published to your profile — posts, photos, descriptions, Q&A and review responses.
- We'll provide your final report and any grid scan history on request within 14 days.
- Your territory exclusivity ends immediately and the territory becomes available to other businesses.
- Access to tracking numbers, dashboards and reporting tools ends. Ask us about porting a tracking number before you cancel.
11. Intellectual property
You own your business information, your Google Business Profile, your logos and brand assets, and the content we publish to your profile on your behalf.
We own our methodology, systems, processes, templates, report formats, internal documentation and software configurations. Nothing in this agreement transfers those to you.
You give us permission to use your business name, logo and profile results in our marketing and case studies. If you'd rather we didn't, just email us and we'll stop — no explanation needed.
12. Confidentiality
We'll keep your business information confidential and use it only to deliver our services, except where disclosure is required by law or where you've agreed to us using it in a case study. We may share information with the third-party tools we use to deliver the work — these are listed in our Privacy Policy.
13. Our liability
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies those guarantees or any other right you have that cannot lawfully be excluded.
Where we are permitted by law to limit our liability, our liability for any claim connected with our services is limited, at our option, to resupplying the services or paying the cost of having them resupplied.
To the extent permitted by law, our total aggregate liability to you for all claims arising under or in connection with this agreement is limited to the total fees you paid us in the 12 months before the claim arose.
To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or loss of data.
We are not liable for outcomes caused by: changes to Google's algorithms, policies or products; Google suspending, restricting or removing your profile; your competitors' activity; your own changes to your profile; information you gave us that was inaccurate or incomplete; or events outside our reasonable control.
14. Indemnity
You indemnify us against claims, losses and costs arising from information you provided that was false, misleading or infringed someone else's rights; from your failure to hold required licences or insurances; from your instructions to breach Google's guidelines; or from your handling of call recordings or customer data.
15. Communications
By becoming a client you consent to us contacting you by email, phone and SMS about your account and services. We may also send you marketing about our services — you can unsubscribe at any time using the link in any marketing email, or by emailing us. We comply with the Spam Act 2003 (Cth) and the Do Not Call Register Act 2006 (Cth).
16. Disputes
If something's gone wrong, email admin@localseomarketing.com.au first with the details. We'll respond within 5 business days and genuinely try to sort it out. Most things get fixed with a conversation.
If we can't resolve it between us within 30 days, either of us may refer the matter to mediation through the Australian Disputes Centre before starting court proceedings. This doesn't stop either of us seeking urgent relief from a court, or you contacting Consumer Affairs Victoria, your state fair trading body, or the ACCC at any time.
17. General
- Changes to these terms: we may update these terms. We'll give you at least 30 days' written notice of any material change. If you don't accept it, cancel before it takes effect.
- Assignment: you can't transfer this agreement without our written consent. We may transfer it as part of a sale or restructure of our business, and we'll tell you if we do.
- Subcontractors: we may use subcontractors and offshore team members to deliver parts of the work. We remain responsible to you for the work regardless of who performs it.
- Severability: if any part of these terms is unenforceable, it's removed and the rest still applies.
- Entire agreement: these terms, your tier's product page, and our written territory confirmation make up the whole agreement between us.
- Governing law: the laws of Victoria, Australia, with the non-exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia.
